Constitution of Chortal
Article I: Name and Nature
1.1 The organization shall be known as Chortal, hereinafter referred to as “the Association.”
1.2 The Association is an unincorporated association registered in the United Kingdom, operating on a not-for-profit basis.
Article II: Objectives
2.1 The primary objective of the Association is to address critical issues such as food waste, food poverty, and the cost of living crisis.
2.2 The Association aims to achieve its objectives by implementing educational programs, repurposing surplus food items into meals, and facilitating the sharing of resources and information.
2.3 Chortal will utilize innovative technology and community engagement to connect individuals, philanthropists, food banks, charities, and government initiatives.
2.4 The Association will strive to create a positive impact on local communities, initially focusing on Chichester in West Sussex, with the goal of expanding nationally within the first year and globally within three years.

3.1 Membership in the Association is open to individuals and organizations who share its objectives and are committed to promoting its mission.
3.2 Membership may be granted upon completion of a membership application and approval by the Association’s governing body.
3.3 Members shall have the right to participate in general meetings, vote on matters of importance, and contribute to the Association’s activities.
3.4 Membership may be terminated if a member violates the Association’s code of conduct or acts contrary to its objectives. Termination requires a majority vote of the governing body.
Article IV: Governance
4.1 The governing body of the Association shall consist of a Board of Directors.
4.2 The Board of Directors shall be responsible for overseeing the affairs of the Association, setting strategic direction, and ensuring the achievement of its objectives.
4.3 The Board of Directors shall consist of a Chairperson, Vice Chairperson, Treasurer, Secretary, and additional members as deemed necessary.
4.4 Board members shall be elected by the general membership for a term of two years. Re-election is permitted for successive terms.
4.5 The Board of Directors shall convene regular meetings to discuss and make decisions on matters concerning the Association. A quorum must be present to conduct official business.
Article V: Financial Management
5.1 The Association’s financial resources shall be managed responsibly and transparently.
5.2 The Treasurer shall oversee the financial operations, maintain accurate records, and present regular financial reports to the Board of Directors and general membership.
5.3 The Association may accept donations, grants, and sponsorships in support of its objectives, subject to legal and ethical guidelines.
Article VI: Amendments
6.1 This Constitution may be amended by a two-thirds majority vote of the general membership present at a general meeting.
6.2 Proposed amendments shall be provided to the general membership at least thirty days prior to the general meeting for review and consideration.
Article VII: Dissolution
7.1 In the event of the dissolution of the Association, any remaining assets shall be distributed to registered charities with similar objectives, as determined by the Board of Directors.
7.2 The decision to dissolve the Association shall be made by a two-thirds majority vote of the general membership present at a general meeting.
7.3 The remaining assets, after the settlement of all debts and liabilities, shall be distributed accordingly in compliance with applicable laws and regulations.
This Constitution was adopted on 10/06/2023 by the general membership of Chortal.
